Terms of Service

1. Acceptance of Terms

Welcome to www.sentineladvisorygroup.net (the "Site"), operated by Sentinel Advisory Group, LLC, a Florida limited liability company ("Sentinel," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Site.

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

2. Relationship to Client Services

These Terms govern only your use of the Site. They do not create a consulting, advisory, or professional services relationship between you and Sentinel. Any consulting or advisory services Sentinel provides are governed exclusively by a separately executed Master Services Agreement and Statement of Work ("Engagement Documents"). In the event of any conflict between these Terms and Engagement Documents, the Engagement Documents control with respect to the services described in them.

Submitting an inquiry through the Site, subscribing to the newsletter, or otherwise communicating with us through the Site does not, by itself, create a client relationship or any obligation by Sentinel to provide services. No oral statements, website communications, proposals, or preliminary discussions shall create a client relationship absent a fully executed Engagement Document.

3. Site Content; Informational Only

The content on the Site, including articles, frameworks, case studies, descriptions of service lines, and other materials, is provided for general informational purposes only. It is not intended to be, and should not be construed as, professional advice. The Site does not provide legal, tax, accounting, financial, investment, medical, or other regulated professional advice.

Site Content may become outdated and Sentinel undertakes no duty to update Site Content. You should not act or refrain from acting on the basis of Site content without first consulting an appropriate qualified professional regarding your specific situation. Sentinel makes no representations or warranties about the accuracy, completeness, suitability, or timeliness of Site content, and any reliance on Site content is at your sole risk.

4. Permitted Use

You may access and use the Site for your own personal, non-commercial reference and to evaluate Sentinel's services. You agree not to:

•  Use the Site in any way that violates applicable law or regulation

•  Reproduce, republish, distribute, or commercially exploit Site content except as expressly permitted by these Terms

•  Use any automated means (including bots, scrapers, or crawlers) to access, copy, or monitor the Site, except for legitimate search-engine indexing in accordance with our robots.txt file

•  Attempt to gain unauthorized access to any portion of the Site, related systems, or networks

•  Introduce viruses, worms, malware, or other harmful code to the Site

•  Interfere with or disrupt the operation of the Site or any servers or networks connected to the Site

•  Use the Site to harass, defame, or impersonate any person or entity

•  Submit false, misleading, or fraudulent information through the Site, including through the contact intake form

  • Use Site Content to train, fine-tune, or develop any artificial intelligence, machine learning, or automated decision-making system without Sentinel's prior written consent.

5. Intellectual Property

The Site and all of its content, including text, graphics, logos, images, frameworks, methodologies, and the selection and arrangement thereof (collectively, the "Site Content"), are the property of Sentinel or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws. Except for limited rights expressly granted herein, no license or ownership interest is conveyed by implication, estoppel, or otherwise.

"Sentinel," "Sentinel Advisory Group," the Sentinel logo, and "Protecting Revenue When Failure Is Not an Option" are trademarks or service marks of Sentinel Advisory Group, LLC. You may not use these marks without our prior written permission.

Subject to your compliance with these Terms, Sentinel grants you a limited, non-exclusive, non-transferable, revocable license to view and use the Site for personal reference and to evaluate Sentinel's services. This license does not include any right to copy, modify, distribute, sell, or commercially exploit Site Content. All rights not expressly granted are reserved.

6. Submissions Through the Site

If you submit information through the Site (for example, through the contact intake form or newsletter signup), you represent and warrant that the information you provide is accurate, that you have the authority to provide it, and that providing it does not violate any obligation you owe to a third party.

You acknowledge that the contact intake form is an initial point of contact and is not a secure channel for confidential or sensitive information. Do not submit confidential, proprietary, financial account, health, or otherwise sensitive information through the Site. Information shared through the Site before an Engagement Document is in place is not protected by attorney-client privilege or any other professional privilege. Sentinel will handle personal information in accordance with its Privacy Policy; however, users should not submit confidential, proprietary, export-controlled, regulated, or legally privileged information through the Site.

Any feedback, suggestions, or ideas you submit to Sentinel through the Site or otherwise are non-confidential and may be used by Sentinel without obligation or compensation to you.

7. Third-Party Services and Links

The Site may contain links to third-party websites or use third-party services (including those identified in our Privacy Policy). Sentinel does not control and is not responsible for the content, accuracy, or practices of any third-party site or service. Your use of third-party sites and services is at your own risk and subject to those third parties' terms and policies. Sentinel is not responsible for outages, data loss, security incidents, or policy changes affecting third-party services.

8. Disclaimers

THE SITE AND SITE CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SENTINEL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

SENTINEL DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE SITE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF DEFECTS. SENTINEL DOES NOT WARRANT THAT SITE CONTENT IS ACCURATE, COMPLETE, RELIABLE, CURRENT, OR ERROR-FREE. ANY RELIANCE ON SITE CONTENT IS AT YOUR SOLE RISK.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SENTINEL, ITS AFFILIATES, OFFICERS, MEMBERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE OR SITE CONTENT, EVEN IF SENTINEL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

LIABILITY SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT PAID BY THE USER, IF ANY, FOR ACCESS TO THE SITE DURING THE PRECEDING TWELVE (12) MONTHS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SENTINEL'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). NOTHING HEREIN LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW. THIS LIMITATION DOES NOT APPLY TO LIABILITY UNDER A SEPARATELY EXECUTED ENGAGEMENT DOCUMENT, WHICH IS GOVERNED BY THE LIMITATION OF LIABILITY PROVISIONS OF THAT DOCUMENT.

Some jurisdictions do not allow the exclusion or limitation of certain damages. To the extent any provision of this Section is held to be unenforceable, the remaining provisions remain in effect.

10. Indemnification

You agree to defend, indemnify, and hold harmless Sentinel and its affiliates, officers, members, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site in violation of these Terms; (b) your violation of any applicable law or regulation; (c) your violation of any third party's rights; or (d) information you submit through the Site that is false, misleading, or violates any third party's rights. Sentinel shall control the defense and settlement of any indemnified claim, provided that no settlement imposing liability on the indemnifying party shall be entered without consent, not to be unreasonably withheld.

11. Termination; Modification of the Site

Sentinel reserves the right to suspend, modify, or terminate the Site, in whole or in part, at any time, with or without notice. Sentinel may also terminate or restrict your access to the Site at any time if Sentinel believes you have violated these Terms. Sections that by their nature are intended to survive termination (including Sections 5, 6, 8, 9, 10, 12, and 13) will survive. Sentinel shall not be liable for any modification, suspension, or discontinuation of the Site.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-law principles. Any dispute arising out of or related to these Terms or the Site will be brought exclusively in the state or federal courts located in Florida, and you consent to the personal jurisdiction of those courts. Exclusive venue shall lie in the state and federal courts located in Hillsborough County, Florida, or the nearest federal district court having jurisdiction

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

13. Changes to These Terms

Sentinel may revise these Terms from time to time. The most current version will always be posted on the Site, with the "Last Updated" date at the top revised. Material changes will be noted prominently on the Site. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms. Material changes will become effective upon posting unless a later effective date is specified.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sentinel regarding your use of the Site and supersede any prior or contemporaneous understandings. These Terms do not affect any separately executed Engagement Document, which governs the consulting and advisory services described in it.
